Notes:
1. The transacting party, Malaya Glass Product Sdn Bhd (“MGP”) (a former subsidiary of Fraser and Neave Holdings Berhad which in turn is a subsidiary of F&N) has ceased to be
a related party to GAB Group on 16 July 2010. Pursuant to the Listing Requirements, a related party shall include any person who is or was, within the preceding 6 months of
the date on which the terms of the transaction were agreed upon, a party related to the company or any other corporation which is the subsidiary or holding company of such
related party. The actual value reported herein is for transactions entered into by the Group with MGP for the period from last AGM till 16 January 2011.
2. This transaction has exceeded the estimated value by 10% or more due to the inclusion of transactions with Mouterij Albert N.V. (“MANV”), a subsidiary of Heineken N.V.,
in relation to the purchase of malt. Pursuant to the Listing Requirements, transactions entered into with the same party or parties connected with one another may be
aggregated for the purpose of determining whether a public disclosure is required in the event that the actual value of a related party transaction exceeds the estimated value
disclosed in the mandate by 10% or more. Given that MANV and Heineken Group are parties connected with one another, the transactions with MANV would be aggregated
with that of the Heineken Group as provided in the existing Shareholders’ Mandate. The total actual value transacted with Heineken Group is reported to be within the total
estimated value stipulated in the existing Shareholders’ Mandate and henceforth, no separate announcement to Bursa Securities is required.
