The expressions "debenture" and "debenture-holder" shall include

"debenture-stock" and "debenture-stockholder", and the expression

"Secretary" shall include any person appointed by the Directors to

perform any of the duties of the Secretary.

1.2

In this Constitution, unless there is something in the subject or

context inconsistent with such construction or unless it is otherwise

expressly provided:

Interpretation

1.2.1 reference to "writing" shall, unless the contrary intention

appears, be construed as including references to printing,

lithography, photography and other modes of representing or

reproducing words in a visible form, whether in a physical

document or in an electronic communication or form or

otherwise howsoever;

1.2.2 words including the singular only shall include the plural and

the masculine gender shall include the feminine and neuter

genders and the word "person" shall include a corporation;

1.2.3 words and phrases, definitions of which are given in the Act

shall be construed as having the meaning thereby attributed to

them, but excluding any statutory modification thereof not in

force at the date of adoption of this Constitution;

1.2.4 any reference to a statutory provision includes any modification,

consolidation or re-enactment thereof for the time being in

force, and all statutory instruments or orders made pursuant

thereto; and

1.2.5 subject as aforesaid, words or expressions contained in this

Constitution shall be interpreted in accordance with the

provisions of the Interpretation Acts, 1948 and 1967, as

amended from time to time and any re-enactment thereof.

1.3

The headings are inserted for convenience only and shall not affect

the construction of this Constitution.

NAME

The name of the Company is Heineken Malaysia Berhad.

REGISTERED OFFICE

The registered office of the Company will be situated in Malaysia.
